V nejobecnější rovině lze tato pravidla vymezit tak, že regulují potenciální oportunistické snažení společníků o nedovolené rozdělení kapitálu kapitálové společnosti v jejich prospěch a na úkor běžných věřitelů.
Historické kořeny aktuálně platného systému zachování kapitálu na našem území jsou tradičně připisovány německé jurisprudenci. Vzhledem k převzetí základních východisek o systému zachování kapitálu na unijní úroveň již dlouhá desetiletí nejde pouze o německý předmět zkoumání. Jde o pravidla, která zásadně ovlivňují fungování kapitálových společností a poskytují zdůvodnění existence jejich základních korporačních institutů, jako je vyloučení odpovědnosti společníků za dluhy kapitálové společnosti a možnost tvorby odděleného vlastnictví.

Naše země stagnuje, stagnuje politicky, stagnuje ekonomicky, a navíc ve světě zcela ztratila svou bývalou pozici a re¬spekt. S trochou ironie lze použít známý výrok „země, která nevzkvétá“. Bohužel ne všichni si to uvědomují. A ještě méně je pak chápána příčina tohoto dnešního nevzkvétání. Nemůže jí být nic jiného než nekvalita ekonomického a politického systému, spoléhání se na politický a ekonomický systém dnešní Evropy a Západu a na ideologie, jež odtud přicházejí.
